    1. COMMENCEMENT AND MINIMUM TERM

    1.1 This Agreement shall commence on Rooms in Scotland’s acceptance of the Customer’s request for the Services. Subject to prior termination in accordance with clause 3 below the parties agree to a Minimum Term of one year from commencement. After the Minimum Term has expired, this Agreement shall continue unless terminated by the parties in accordance with clause 3 below.

    2. PAYMENT

    2.1 In consideration for the payment of the Fees, Rooms in Scotland agrees to provide the Services.

    2.2 The Customer agrees to pay the Fees (and any other sums due to Rooms in Scotland) without any deduction or withholding (whether by way of set off, counterclaim, abatement or otherwise) as follows: -

    2.2.1 By debit or credit card payment at the time of completing a Registration Form on-line where the Customer completes a Registration Form on-line, and thereafter within 14 days of the date of all invoices sent by Rooms in Scotland for the Fees (or any other sums due to Rooms in Scotland).

    2.2.2 Where the Customer does not complete a Registration Form on-line or at all, within 14 days of the date of all invoices sent by Rooms in Scotland for the Fees (or any other sums due to Rooms in Scotland).

    3. TERMINATION

    3.1 Rooms in Scotland may terminate this Agreement forthwith by giving written notice to the Customer if any of the following events occur:

    3.1.1 the Customer is in material breach of any of its obligations under this Agreement and either the breach is not capable of remedy or if the breach is capable of remedy the Customer fails to remedy it within 30 days after receiving a written notice from Rooms in Scotland requiring it to be remedied;

    3.1.2. there are sums due to Rooms in Scotland under this Agreement and such sums are not paid by the Customer within 14 days of the due date for payment;

    3.1.3. the Customer has sent, supplied, provided or caused Rooms in Scotland to receive any Inappropriate Material or has provided misleading or incorrect information about its establishment;

    3.1.4 the supply of the Services to the Customer may (in the reasonable opinion of Rooms in Scotland) expose Rooms in Scotland to the risk of litigation or arbitration or any other disputes with third parties;

    3.1.5 the Customer is a company and a petition is presented or a meeting is convened for the purpose of considering a resolution for the making or an administrative order, the winding-up, or dissolution of the Customer; or

    3.1.6 the Customer is an individual and a petition for bankruptcy is presented against it; or

    3.1.7 a receiver or liquidator or administrator, receiver or other encumbrancer (where the Customer is a company) or (where the Customer is an individual) a trustee in bankruptcy is appointed over it or any of its assets; or

    3.1.8 the Customer proposes or enters into any arrangement or composition with or for its creditors (including any voluntary arrangement).

    3.2 In the event that any of the circumstances identified in clause 8.1.1 to 8.1.8 arises, Rooms in Scotland shall be entitled to retain any sums paid to it by the Customer hereunder and recover any sums due to it whether invoiced or not at the date of termination.

    3.3 Either party may terminate this Agreement after the Minimum Term by giving not less than 30 days written notice served.

    5.Listing Conditions Top

    A full listing is valid for a period of 12 months and once the fee has been paid and approved by both parties the fee is non refundable.

    If a PayPal subscription is paid for it will run for a period of 12 months, the proprietor has the right to cancel this at any point, this will not refund the listing fee but it will prevent the listing from being automatically renewed at the end of the year.

    If you fail to cancel the subscription prior to the renewal date then you will be charged for another 12 months and this fee will NOT be refunded. It is the responsibility of the proprietor and not Rooms in Scotland to ensure that if a listing is to not be renewed it is cancelled prior to the renewal date.
